Trade Customers Terms & Conditions

1. Definitions

In these terms and conditions:

“Company” means Tippitoes (UK) Limited.

“Buyer” means a customer other than a consumer  who places an order and to whom the Company agrees to supply Goods.

“Goods” means any product or services supplied by the Company.

2. Price

a. The price shall be the Company’s quoted price, exclusive of VAT.

3. Payment and Title

a. The Company reserves the right to require payment prior to delivery by pro-forma invoice or cash on delivery.  

b. Where the Company has agreed to supply Goods on credit, payment is due not later than 30 days from the date of the invoice.

c. If payment under these conditions is not made when due an interest charge will be made on overdue payments from the original due date until payment actually takes place at the rate of 2.5% per month.

d. The property in Goods shall not pass to the Buyer until paid for in full, including VAT, interest on late payment and any other sums due from the Buyer to the Company.

e. Until such time as the legal and beneficial ownership of the Goods passes to the Buyer the Company shall be entitled at any time to require the Buyer to deliver up the Goods to the Company and if the Buyer fails to do so forthwith, the Buyer hereby authorises the Company to enter upon any premises of the Buyer or any third party where the Goods are stored and to repossess the Goods.

f. If the Buyer makes a voluntary arrangement with its creditors or being an individual or firm becomes bankrupt or being a Company becomes subject to an administration order or goes into liquidation or if a receiver is appointed over any of the Buyers assets or the Buyer is unable to pay its debts as they fall due then, without limiting any other remedy, the Company may at its discretion suspend further deliveries or cancel contracts for  Goods. 

4. Passing of Risk

a. The Goods shall be at the Buyer’s risk as from delivery.

5. Carriage and Delivery

a. Goods should be inspected upon receipt and all shortages and damages must be notified to the Company within 48 hours of receipt save as otherwise agreed.

Delivery will be at the Buyer’s premises unless Goods are despatched directly to the Buyer’s customer in which case delivery will be ex the customer’s premises.

6. Returns

a. Any Goods found post delivery inspection to have been damaged or defective at the point of delivery shall be repaired, replaced or refunded at the Company’s discretion, and any such Goods shall, at the Company’s discretion, be returned to the Company at the Company’s expense together with all original packaging and a copy of the invoice. Certain of the Goods, may from time to time be the subject of a guarantee to the consumer in which case in respect of such on sold Goods the Buyer shall be entitled to exercise this on behalf of its customer. In the case of other on sold Goods in respect of which a customer of the Buyer properly exercises its statutory rights the company will repair, replace or refund as appropriate.

7. Force Majeure

a. The Company reserves the right to cancel, suspend or vary any contract of sale if events occur which are in the nature of force majeure including (but not limited to) fire, flood, storms, strikes, lock outs, riot, hostilities or any other event outside the control of the Company.  The Company shall not be held liable for any breach of contract resulting from such an event.

8. Legal Construction

a. These terms and conditions are subject to the law of England and Wales

b. These terms and conditions shall apply to all contracts for the sale of Goods by the Company to the Buyer to the exclusion of all other terms and conditions.  Any variation to these Conditions shall be inapplicable unless agreed in writing by the Company.
